Terms of Service
1. This agreement
These terms are a contract between Logiciels Modustra IQ ("Modustra IQ," "we," "us") and the company that registers an account ("you," "your company"). The person who registers the company, or who later accepts these terms on its behalf, confirms that they are authorized to bind it. If you are a member of a company's account rather than the company itself, these terms apply to your use of the application, and your company is responsible to us for it.
These terms are a standard-form agreement: we offer them on the same conditions to every company and do not negotiate them individually. Before accepting, you can read them in French or in English by choosing the language at the top of the page. The French version was made available to you before any acceptance in English, and accepting them in English is your express choice to be bound by the English version. Both versions have the same meaning; where they differ, the French version prevails.
You accept these terms by ticking the box on the registration form. We record which version you accepted, in which language, when and from where, and you can ask us for a copy of the version you accepted at any time. The Privacy Policy explains how we handle personal information and forms part of this agreement.
2. The service
Modustra IQ is a web application for manufacturers and their sales teams: customers and contacts, leads and deals, quotes, orders, invoices, credit notes, returns, production tracking, inventory, costing and drawings. Your company's data is held in a database of its own, separate from every other company's.
Two plans are offered. Modustra IQ Lite is free, includes two sales seats and sells no more. Modustra IQ Pro is paid per seat: a sales seat for an administrator or a salesperson, a production seat for the shop floor. What each plan includes and what a seat costs are shown on the registration page and under Settings, and can be changed from there at any time.
3. Accounts and users
The person who registers a company becomes its first administrator and cannot be removed by anyone but us, so that an account is never left without one. Administrators decide who else joins the company's account, with what role and what access, and can remove them. Your company is responsible for everyone it admits and for everything done under its account.
Each person keeps their password to themselves and tells us at once if they believe it has been compromised. Seats are for named people: one person per seat, not a shared login.
You must be at least the age of majority in your jurisdiction, and you use the service for business purposes.
4. Fees, trial and payment
Pro is billed per seat, monthly or yearly, in Canadian dollars plus applicable taxes, at the rates shown when you subscribe. Payment is by card through Stripe. A card is asked for at signup and nothing is charged for the trial period stated on the registration page; the first charge falls when the trial ends, and we email you before it. A yearly plan costs ten months' price for twelve. A yearly plan taken with a brochure offer is charged on the day, as that offer states.
Adding seats is charged immediately for the rest of the current period. Removing seats, or moving to a cheaper period, is credited against the next bill; we do not refund the unused part of a period unless the law requires it. Moving from Pro to Lite takes effect at the end of the paid period.
If a payment fails, we tell you and retry. If it still fails after fourteen days, we may suspend the account until it is paid, and after sixty days we may close it under section 6. We may change our prices with thirty days' notice by email to your administrators; the new price applies from your first billing period after the notice.
5. Your data
Everything your company enters into the application is yours. We claim no ownership of it, and you grant us only the right to host, process, back up and display it as the service needs in order to work for you. We look at it only to provide the service, to fix a problem you reported, or to keep the service secure, as the Privacy Policy describes.
Your company is responsible for the information it enters: for having the right to collect and use the personal information of the people in it, for answering their requests about it, and for keeping what it enters lawful.
You can export your data from the application at any time, and you can ask us for a copy in a structured, commonly used format. Export what you need before an account closes.
6. Term, cancellation and closure
This agreement lasts for as long as your company has an account. You can cancel a paid plan at any time under Settings; the plan runs to the end of the period already paid for and is not renewed. You can ask us to close the account entirely at support@modustraiq.com.
After an account is closed, we keep its data for 90 days so that a closure made by mistake can be undone, and delete it afterwards, except for the records we are required to keep, as the Privacy Policy describes.
We may suspend or close an account, with notice by email to its administrators, if a bill remains unpaid as set out in section 4, if the account is used in breach of section 7, or if the law requires it. Where the breach can be put right, we say what needs to change and give you a reasonable time to do it before closing anything.
7. Acceptable use
You may not use the service to break the law, to store or send content that infringes someone else's rights, or to attack, probe or overload the service or anyone else's systems. You may not resell or sublicense the service, share a seat between people, or use the service to build a competing product. You may not attempt to reach another company's data.
8. Third-party services
Card payments are processed by Stripe under Stripe's own terms. QuickBooks Online is an optional integration your administrator can connect and disconnect; what passes between the two is described in the Privacy Policy, and your use of QuickBooks is governed by Intuit's terms. AI insights are written on request by Google's Gemini model; what is sent to it is described in the Privacy Policy. A reading is an aid to judgment that can be wrong, and you remain responsible for what you do with it. We are not responsible for services we do not operate.
9. Availability and support
We work to keep the service available at all times, but we do not promise uninterrupted availability. We may take the service down for maintenance, with notice where we can give it, and may change features as the product develops, without removing anything you depend on without notice. Support is by email at support@modustraiq.com during Quebec business hours, in French or English as you prefer.
10. Intellectual property
The application, its name, logo, design, code and documentation belong to Modustra IQ or its licensors. You receive a licence to use the application for your company's business for as long as you have an account, and nothing more. You may not copy, modify, reverse engineer or redistribute it. Suggestions you send us may be used without obligation.
11. Warranties
We provide the service with reasonable care and skill. Beyond that, and to the extent the law allows, the service is provided as is, without warranty that it will meet every need or be free of error. Nothing in these terms limits a warranty or right that the law gives you and does not allow to be excluded.
12. Liability
To the extent the law allows, our total liability to your company for everything arising from this agreement in any twelve-month period is limited to the fees your company paid us in that period, and we are not liable for indirect damages, lost profits, lost data that you could have exported, or the acts of third-party services. This limit does not apply to bodily or moral injury, to our own gross or intentional fault, or to anything the law does not allow us to limit.
Your company will indemnify us against claims arising from the information it enters or from its breach of section 7.
13. Changes to these terms
We may change these terms as the product develops. We email your administrators at least thirty days before a material change takes effect, with the new version in French and in English. If you do not accept the change, you may cancel before it takes effect; continuing to use the service afterwards, or accepting the new version when asked, is acceptance. Each version carries its date, and earlier versions are available on request.
14. Governing law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute is brought before the courts of the judicial district of Québec, unless the law gives you the right to bring it elsewhere. Before going to court, each side agrees to try to settle a dispute by writing to the other and meeting within thirty days.
15. General
If any part of these terms is found unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to a successor of our business with notice to you. Notices to you go to your administrators' email addresses; notices to us go to support@modustraiq.com or the address below.
